Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client" or "User") and Prosperity Syndicate Inc. ("Prosperity Syndicate," "we," "us," or "our"), governing your use of our website located at prosperitysyndicate.com, our digital products, and any associated platforms including the Assembly client portal.

By accessing our website, downloading a resource, or engaging with Prosperity Syndicate in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website.

These Terms apply to all visitors and users of this website, regardless of whether a separate engagement agreement is in place. A separate engagement letter or service agreement, where executed, supplements these Terms and prevails in the event of any conflict.

Advisory Disclaimer

Not Legal, Financial, Tax, or Investment Advice. All advisory services provided by Prosperity Syndicate are business strategy and operational advisory in nature. Nothing provided by Prosperity Syndicate constitutes legal advice, financial advice, tax advice, accounting advice, securities advice, or investment advice.

Prosperity Syndicate is not a licensed attorney, CPA, registered investment advisor, or securities broker-dealer. Any information, strategies, frameworks, or recommendations provided are for informational and strategic purposes only and do not replace the advice of qualified legal, financial, tax, or investment professionals.

Clients are strongly encouraged to consult qualified professionals before making any legal, financial, tax, or investment decisions. Prosperity Syndicate assumes no responsibility for decisions made by clients based on advisory services provided.

Results Disclaimer. Past results achieved by Prosperity Syndicate clients, including the $150M+ in client revenue and $50M+ in fundraising referenced on this website, are illustrative of outcomes achieved under specific circumstances and do not guarantee similar results for any client. Individual outcomes depend on factors including market conditions, business fundamentals, client execution, and other variables beyond our control.

Packages and Payment

Retainer on File. A non-refundable retainer of $2,500 is required for all packages prior to commencement of any work. This retainer is held on file and applied as a credit toward the final invoice of the engagement.

Payment Terms. Unless otherwise specified in a written engagement agreement, the following payment terms apply:

• One-time packages (Starter, Growth) are invoiced with 50% due upon engagement confirmation and 50% due upon project completion or within 30 days of project start, whichever comes first.
• Monthly engagements (Scale Package, Monthly Advisory Retainer) are invoiced monthly in advance. Payment is due within 7 days of invoice date.
• Tactical Advisory Intensives are paid in full prior to the session.
• Custom proposals follow payment terms specified in the individual proposal.

Accepted Payment Methods. Payment may be made via wire transfer, ACH, credit card, Venmo, or other methods specified in your invoice. Prosperity Syndicate reserves the right to pause or suspend services for overdue accounts.

Payment Surcharges. The following processing surcharges apply and will be added to the invoice total:

• Credit card payments are subject to a 3.5% processing surcharge.
• Venmo payments are subject to a 3% processing surcharge.

Surcharges reflect third-party processing fees and are non-negotiable. To avoid surcharges, payment may be made via wire transfer or ACH at no additional fee.

Late Payment. Interest will be enforced on all overdue balances. Invoices unpaid after 14 days of their due date are subject to interest of 1.5% per month (18% per annum) on the outstanding balance, accruing until paid in full. Prosperity Syndicate reserves the right to suspend services until accounts are current.

Price Changes. Prosperity Syndicate reserves the right to update pricing at any time. Pricing changes do not affect active engagements already confirmed in writing.

Scale Package Commitment. The Scale Package requires a minimum 3-month commitment totaling $45,000. By confirming a Scale Package engagement, the client agrees to be liable for the full 3-month commitment regardless of early termination, except in cases of material breach by Prosperity Syndicate.

Refund Policy

General Policy. Due to the nature of advisory and professional services, all fees paid to Prosperity Syndicate are generally non-refundable once work has commenced or a session has been delivered.

Cancellation Before Work Commences. If a client cancels a confirmed engagement before any work has commenced and before the project kickoff call, a refund of any initial deposit, less a 10% administrative fee, may be issued at Prosperity Syndicate's discretion.

Tactical Advisory Intensives. Sessions cancelled more than 48 hours in advance may be rescheduled without penalty. Sessions cancelled within 48 hours of the scheduled time or not attended are non-refundable.

Cohort Programs. Cohort participation fees are non-refundable once the cohort has commenced. Deferrals to a future cohort may be considered at Prosperity Syndicate's discretion.

Digital Downloads. All digital product purchases are final and non-refundable.

All refund requests must be submitted in writing to connect@prosperitysyndicate.com.

Digital Downloads and Free Resources

Prosperity Syndicate offers both free downloadable resources (accessible via email opt-in) and paid digital products available at prosperitysyndicate.com/digitaldownloads.

Free Resources. Free resources (guides, playbooks, checklists) are made available in exchange for your email address. By submitting your email to access a free resource, you agree to receive communications from Prosperity Syndicate. You may unsubscribe at any time.

Paid Digital Products. All digital product purchases are final. No refunds are issued for digital downloads once access has been granted.

License for Personal Use. All downloadable materials, whether free or paid, are licensed for your personal and internal business use only. You may not:

• Reproduce, redistribute, or resell any materials in whole or in part
• Share access credentials or download links with third parties
• Use materials to create competing products or services
• Remove any copyright or proprietary notices from materials

All materials remain the intellectual property of Prosperity Syndicate Inc.

Intellectual Property

Prosperity Syndicate IP. All content on this website and in our materials, including but not limited to text, graphics, logos, methodologies, frameworks, downloadable content, video scripts, brand assets, and the Prosperity Syndicate name and logo, is the exclusive intellectual property of Prosperity Syndicate Inc. and is protected by applicable copyright, trademark, and intellectual property laws.

Client Deliverables. Upon receipt of full payment for a completed engagement, clients receive a non-exclusive, non-transferable license to use deliverables created specifically for them (such as brand assets, website designs, pitch decks, and written strategies) for their own business purposes.

Prosperity Syndicate retains the right to reference client engagements and general outcomes (without disclosing confidential information) for portfolio, marketing, and case study purposes, unless the client has executed a separate confidentiality agreement prohibiting such reference.

Methodology. The frameworks, systems, and methodologies used by Prosperity Syndicate remain the proprietary intellectual property of Prosperity Syndicate Inc. Clients do not acquire any ownership of underlying methodologies through an engagement.

Confidentiality

Prosperity Syndicate treats all client information shared during engagements as confidential. We do not share, sell, or disclose client business information, financial data, or strategic plans to third parties, except as required by law or as necessary to perform contracted services.

Clients may request a mutual non-disclosure agreement (NDA) prior to any engagement. Prosperity Syndicate will execute a clean two-page NDA upon request.

Clients agree to keep the specific terms, pricing, and methodologies of their engagement confidential and not to share proprietary Prosperity Syndicate materials with third parties without written consent.

Non-Solicitation and Non-Circumvention. During any engagement and for a period of twelve (12) months following its conclusion, the Client agrees not to directly or indirectly solicit, recruit, hire, or independently engage any employee, contractor, consultant, or other personnel of Prosperity Syndicate for services outside of Prosperity Syndicate, without the prior written consent of Prosperity Syndicate. The Client further agrees not to circumvent Prosperity Syndicate in order to work directly with any contractor, partner, vendor, or service provider introduced through an engagement. This provision protects the team, training, and professional network Prosperity Syndicate has invested in building, and survives the termination of any engagement.

Email and Marketing Communications

By submitting your email address through any form on this website, including the newsletter signup, resource download gate, or application form, you consent to receive email communications from Prosperity Syndicate, including newsletters, updates, promotional content, and advisory resources.

You may unsubscribe from marketing emails at any time by clicking the unsubscribe link in any email or by contacting us at connect@prosperitysyndicate.com. Transactional emails related to active engagements cannot be opted out of while an engagement is in progress.

Prosperity Syndicate does not sell or share email addresses with third parties.

Website Use

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of others. You may not:

• Use the website in any way that violates applicable local, national, or international laws or regulations
• Attempt to gain unauthorized access to any part of the website or its related systems
• Transmit any unsolicited or unauthorized advertising or promotional material
• Scrape, harvest, or systematically copy website content without written permission
• Use automated tools to access the website in ways that could damage or impair its functionality
• Reproduce or republish website content for commercial purposes without written consent

Prosperity Syndicate reserves the right to restrict access to the website for any user who violates these Terms or whose use is otherwise deemed inappropriate.

Assembly Client Portal. Access to the Assembly client portal is granted exclusively to active Prosperity Syndicate clients. Portal credentials are personal and non-transferable. Clients are responsible for maintaining the confidentiality of their login credentials.

Limitation of Liability

To the maximum extent permitted by applicable law, Prosperity Syndicate Inc., its founder, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, website, or materials, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or business information
• Business interruption or failure to achieve expected results
• Decisions made based on advisory services or materials provided
• Actions of third parties including investors, partners, or service providers introduced through our network

In no event shall our total liability to you for all claims arising from or related to your use of our services exceed the total fees paid by you to Prosperity Syndicate in the 12 months preceding the claim.

This limitation applies regardless of the form of action, whether in contract, tort, negligence, or otherwise, and even if Prosperity Syndicate has been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless Prosperity Syndicate Inc., its founder, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with:

• Your use of our services, website, or materials
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights
• Any content or information you provide to Prosperity Syndicate

Third-Party Links and Services

Our website and materials may contain links to third-party websites, tools, or services. These links are provided for convenience only. Prosperity Syndicate does not endorse, control, or assume responsibility for the content, privacy practices, or accuracy of any third-party websites.

Your use of any third-party website or service is governed by that party's terms and conditions. Prosperity Syndicate is not responsible for any transactions, disputes, or damages arising from your use of third-party services.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of Prosperity Syndicate services shall first be addressed through good-faith negotiation. If the parties cannot resolve the dispute through negotiation within 30 days, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in Nevada City, California.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or representative proceeding.

Changes to These Terms

Prosperity Syndicate reserves the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this document. We encourage you to review these Terms periodically.

Your continued use of our website after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of our website.

Active clients will be notified of material changes to these Terms via email.
